EMERi Membership Agreement

This Membership Agreement (“Agreement”) sets out the terms governing your membership with EMERi Solutions Limited (“EMERi”, “we”, “us”, or “our”). By purchasing membership through our payment platform (currently Stripe) and accessing the EMERi community, resources, or events (collectively, the “Services”), you agree to be bound by this Agreement and our Code of Conduct.
1. Membership

Your membership begins on the date payment is confirmed via our payment platform.

Membership continues for the period specified at purchase (e.g. 12 months, unless otherwise stated).

Renewal, if applicable, will be managed through our payment platform.
2. Fees & Refunds

Membership fees are set out at checkout on our payment platform.

You may cancel within 14 days of purchase for a full refund, provided you have not accessed or used membership benefits. After this period, membership fees are non-refundable.
3. Member Responsibilities

You agree to comply with our Code of Conduct at all times.

Solicitation is prohibited during the first 3 months of membership. After this period, solicitation, promotion, or collaboration with other members requires explicit written approval from EMERi (approval means written confirmation by EMERi management via email).

Members may not use EMERi’s platform, events, or networks for commercial gain without prior written authorisation.
4. Access & Benefits

Membership benefits (e.g. events, community platforms, learning resources) are described on our website and/or communications.

EMERi reserves the right to adapt or update benefits to improve the Services.
5. Intellectual Property

All materials, frameworks, case studies, recordings, and resources provided by EMERi remain the exclusive intellectual property of EMERi Solutions Limited.

They may not be copied, distributed, reproduced, adapted, sold, sublicensed, reverse-engineered, or otherwise exploited in any form, whether in part or whole, without EMERi’s prior written permission.

Any unauthorised use, sharing, or misappropriation of EMERi content will be considered a material breach of this Agreement and may result in termination, legal action, and a claim for damages.
6. Events & Liability

By attending in-person events, you agree you are responsible for your own health, safety, and insurance. EMERi maintains public liability insurance for its events, but attendance remains at your own risk. EMERi accepts no liability for personal injury, illness, travel disruption, or property loss, except where required by law.
7. Data & Privacy

We collect and process personal data in line with our Privacy Policy and UK GDPR. By joining, you consent to this processing. Our Privacy Policy can be found at: https://emeri.co.uk/privacy
8. Termination

EMERi may suspend or terminate membership if you breach this Agreement or the Code of Conduct.

You may cancel your membership in line with the terms set out by Stripe at the time of purchase.
9. Changes to Agreement

EMERi may update this Agreement from time to time. Members will be notified of material changes via email and/or the member platform at least 14 days before changes take effect.
10. Force Majeure

EMERi shall not be liable for any delay or failure to perform its obligations where such delay or failure results from causes beyond its reasonable control, including but not limited to acts of God, strikes, illness, pandemics, government restrictions, natural disasters, or technical failures. Where possible, EMERi will make reasonable efforts to reschedule affected services.
11. Severability

If any provision of this Agreement is held invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.
12. Governing Law
This Agreement is governed by the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
