EMERi - Terms of Service

1. Introduction
1.1. These Terms of Service (“Terms”) govern your access to and use of EMERi Solutions Limited’s websites, membership programme, events, courses, and any related services, content, or platforms we provide (together, the “Services”).
1.2. “We”, “us”, and “our” refer to EMERi Solutions Limited. “You” refers to the individual member or applicant.
1.3. By applying for membership, paying membership fees, creating an account, attending an event, or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Code of Conduct (together, the “Agreement”). Breaches of the Code of Conduct are treated as breaches of these Terms.
2. Eligibility and Membership
2.1. You must be at least eighteen (18) years old and legally capable of entering into contracts.
2.2. Membership is personal to you and non-transferable.
2.3. Membership benefits include access to curated events, community spaces, selected learning materials, and peer networking. We may adjust or refine benefits at our discretion to improve the member experience.
2.4. We reserve the right to accept, decline, or revoke membership at our discretion.
3. Accounts and Security
3.1. You agree to provide accurate and current information when registering and to update it if it changes.
3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3.3. You must not create accounts using false identities, share your login details, or attempt to access another member’s account.
4. Term, Fees, Renewal, and Refunds
4.1. Activation. Membership begins on receipt of your first payment.
4.2. Initial Term. All memberships carry a minimum term of three (3) months (“Initial Term”).
4.3. Rolling Renewal. After the Initial Term, membership continues on a rolling month-to-month basis unless cancelled in writing.
4.4. Payment. Membership fees are payable in advance using the payment method we provide. We may update fees or billing methods on reasonable notice. If payment fails, we may suspend your membership until resolved.
4.5. Refunds. Membership fees are non-refundable after the Initial Term. If you cancel during the Initial Term, you remain liable for all fees due up to the end of that term. No credits are provided for unused benefits or partial months.
4.6. Cancellation. You may cancel your membership after the Initial Term by providing written notice via email. Cancellations take effect at the end of the current billing period. Please allow up to 14 days’ notice before your next billing date.
5. Onboarding, Referrals, and Platform Access
5.1. Onboarding. Following payment, you will be asked to complete an onboarding form (covering your profile, goals, preferences, and LinkedIn details). You will then receive a welcome pack and details of upcoming events.
5.2. Referrals. Members may be given a referral code to invite one peer. Admission of referred individuals remains subject to our approval.
5.3. Platform Access. During phased rollout, community interaction may be provided via email, WhatsApp, Slack, or other private groups. We may change platforms or vendors at any time.
6. Member Conduct
6.1. You must comply with our Code of Conduct at all times.
6.2. No Soliciting. Unsolicited promotion or solicitation of products, services, or investments to other members is prohibited. Targeted outreach is permitted only with prior explicit consent from the recipient and in line with any designated community channels.
6.3. Certain promotional privileges may be available only once you complete the Trust Gate requirements described in the Code of Conduct.
7. Events
7.1. We aim to deliver events as advertised but may, where necessary, alter dates, speakers, venues, or formats.
7.2. We are not liable for any external costs you incur in attending events (such as travel or accommodation).
7.3. Event access may be subject to limits, fair-use rules, or prior registration.
8. Intellectual Property and Content
8.1. Our Rights. All rights in the Services, including content, layouts, branding, and software, belong to EMERi Solutions Limited or our licensors. You are granted a limited, revocable, non-transferable licence to use them for your personal membership purposes.
8.2. Your Content. You retain ownership of any content you create or upload as part of your membership (“Member Content”). By submitting Member Content, you grant us a worldwide, royalty-free licence to host, display, adapt, and distribute that content for the purpose of operating the Services.
8.3. Confidentiality. Unless otherwise agreed, information shared by members in community settings is confidential and may not be shared externally without explicit permission.
9. Third-Party Services
9.1. The Services may integrate with third-party platforms (e.g., Stripe for payments, Zoom for calls, Slack for discussions). Each has its own terms and privacy policies.
9.2. We are not responsible for the operation, content, or practices of third-party services.
10. Privacy
10.1. We handle personal data in accordance with our Privacy Policy and applicable data-protection laws.
10.2. By using the Services, you consent to such processing and warrant that all data provided by you is accurate.
11. Indemnity
11.1. You agree to indemnify and hold harmless EMERi Solutions Limited, our officers, employees, and contractors from any claims, damages, or losses arising out of:
(a) your breach of these Terms;
(b) your Member Content;
(c) your unlawful conduct; or
(d) claims made by third parties in connection with your use of the Services.
12. Disclaimers and Limitation of Liability
12.1. Educational Purpose. The Services, including community discussions and materials, are for informational and educational purposes only. They do not constitute legal, financial, or professional advice.
12.2. As-Is Basis. The Services are provided “as is” and “as available”. We make no guarantees that they will be uninterrupted, error-free, or fit for a particular purpose.
12.3. Limitation. To the maximum extent permitted by law, our total liability to you for any claim in the twelve (12) months preceding the claim shall not exceed the total membership fees paid by you in that period.
12.4. Non-Excludable Rights. Nothing in these Terms limits liability that cannot lawfully be excluded (including liability for death or personal injury caused by negligence, or fraud).
13. Suspension and Termination
13.1. We may suspend or terminate your access if you:

breach these Terms or the Code of Conduct;

fail to pay fees when due; or

misuse or attempt to damage the Services.
13.2. Where termination is for cause, membership fees already paid will not be refunded.
14. Changes to the Terms
14.1. We may update these Terms from time to time. Material changes will be communicated by email or posted on our website.
14.2. Continued use of the Services after notice of changes constitutes acceptance of the updated Terms.
15. Force Majeure
15.1. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, strikes, pandemics, or service outages.
16. Notices
16.1. Notices from us will be sent to your most recent email address on record.
16.2. Notices to us should be sent to the contact email or postal address specified on our website.
17. Governing Law and Jurisdiction
17.1. These Terms are governed by the laws of the United Kingdom.
17.2. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, subject to any non-excludable rights you may have under consumer protection laws.
18. Entire Agreement
18.1. These Terms, together with our Privacy Policy, Code of Conduct, and any onboarding or order form, constitute the entire agreement between you and EMERi Solutions Limited with respect to the Services.
